Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of NexusROS, the AI Revenue Operating System operated by Adverant Limited (“Adverant”, “we”, “us”), a company incorporated in Dublin, Ireland.
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Service Description
NexusROS is an AI-powered revenue operating system that provides CRM, marketing automation, sales execution, analytics, territory intelligence, and AI-driven insights through a network of specialised AI agents. The Service includes:
- Contact, company, and deal management (The Ledger)
- AI-powered scoring, profiling, and intelligence (The Brain)
- Marketing orchestration and campaign management (The Megaphone)
- Sales pipeline, voice AI, and coaching (The Closer)
- 100+ enterprise connectors for bidirectional data synchronisation
- Geospatial intelligence and territory management
- Revenue forecasting and digital twin simulations
- Optional extension modules (subject to plan tier)
3. Account Terms
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately at legal@adverant.com if you suspect unauthorised access.
- One person or bot may not maintain more than one free account.
- You are responsible for all activity that occurs under your account.
4. Subscription Plans & Payment
NexusROS is available under the following tiers, each with defined usage limits:

- Subscriptions are billed monthly or annually in advance.
- All fees are exclusive of applicable taxes unless stated otherwise.
- We may change pricing with 30 days’ written notice. Changes apply at the next renewal.
- Refunds are not provided for partial billing periods unless required by law.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload or transmit malware, viruses, or other malicious code.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Scrape, crawl, or use automated means to extract data from the Service beyond approved API usage.
- Use the Service to send unsolicited communications in violation of anti-spam laws (CAN-SPAM, GDPR, ePrivacy).
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Resell or redistribute the Service without written authorisation.
- Use AI-generated profiles or insights to discriminate against individuals based on protected characteristics.
6. Intellectual Property
Our IP: The Service, including its software, AI models, agent architectures, user interface, documentation, and branding, is owned by Adverant Limited and protected by intellectual property laws. Nothing in these Terms grants you ownership of any Adverant IP.
Your Data: You retain all ownership rights to the data you upload to or create within the Service. You grant Adverant a limited, non-exclusive licence to process your data solely for the purpose of providing the Service. AI-generated insights derived from your data belong to you.
7. Data Processing
Our processing of personal data is governed by our Privacy Policy. For enterprise customers, we offer a Data Processing Agreement (DPA) that includes Standard Contractual Clauses for international transfers.
We do not use your business data to train AI models. AI model providers processing NexusROS requests are contractually prohibited from using your data for model training.
8. Service Level Commitments
- Starter & Growth: 99.5% monthly uptime target. Best-effort support via email (48-hour response).
- Enterprise: 99.9% monthly uptime SLA. Priority support via email and chat (4-hour response for critical issues). Service credits for SLA breaches as defined in your order form.
- Unlimited: Custom SLA with dedicated account management, as defined in your enterprise agreement.
Uptime excludes scheduled maintenance windows (announced 48 hours in advance) and force majeure events.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Adverant’s total aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
- Adverant shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- AI-generated outputs (scores, forecasts, profiles, recommendations) are decision-support tools. Adverant does not guarantee their accuracy and is not liable for business decisions made based on these outputs.
Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by Irish law.
10. Indemnification
You agree to indemnify and hold harmless Adverant, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited conduct, or fail to pay fees after notice.
- Upon termination, you may request an export of your data within 30 days. After 30 days, your data will be permanently deleted.
- Sections that by their nature should survive termination (liability, indemnification, governing law, IP) will survive.
12. Modifications to Terms
We may modify these Terms at any time. Material changes will be notified via email or an in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may terminate your account before the effective date.
13. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.
14. Dispute Resolution
Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute remains unresolved, either party may pursue resolution through the courts of Ireland.
For EU consumers: you may also be entitled to use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable order form or DPA, constitute the entire agreement between you and Adverant.
- Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any right or provision does not constitute a waiver.
- Assignment: You may not assign these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for delays caused by events beyond reasonable control.
